Welcome to Omnika, a software platform designed to help businesses manage and analyze multi-channel ecommerce operations across marketplaces and digital sales channels.

These Terms and Conditions of Use (“Terms”) govern your access to and use of the Omnika website, platform, applications, and related services (collectively, the “Service”).

The Service is operated by MGV Digital Pte. Ltd., a company incorporated in Singapore (referred to in these Terms as “MGV,” “Omnika,” “we,” “our,” or “us”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

Omnika is a Software-as-a-Service (SaaS) platform wholly owned and operated by:

Omnika provides tools for:

• automated data analysis
  

The Service is intended for business users and commercial entities operating ecommerce businesses.

2. Eligibility and Authority

To use the Service you must:

1. Have the legal capacity to enter into binding agreements.
   
2. Be authorised to act on behalf of a business entity if registering on behalf of a company.
   

By creating an account, you represent and warrant that:

• you are authorised to bind your business to these Terms
  
• all information provided during registration is accurate and complete
  

If you are registering on behalf of a company, you agree that the company will be bound by these Terms.

3. Account Registration and Security

To access certain features of the Service, you must create an Omnika account.

You agree to:

• maintain the confidentiality of your login credentials
  
• ensure that all information associated with your account remains accurate
  
• notify us immediately of any unauthorized use or security breach
  

You are fully responsible for all activity occurring under your account, including actions taken by employees, contractors, or authorized users within your organization.

MGV reserves the right to suspend or terminate accounts that violate these Terms.

4. Fees and Subscriptions

Certain features of the Service require a paid subscription.

Billing

Subscriptions:

• are billed in advance
  
• may be charged monthly or annually
  
• are payable using approved payment methods
  

Non-Refundable Fees

All subscription fees are non-refundable, except where:

• required by applicable law, or
  
• explicitly stated in a separate agreement.
  

Subscription Changes

MGV reserves the right to:

• modify pricing
  
• introduce new service tiers
  
• discontinue pricing plans
  

Any pricing changes will take effect at the start of the next billing cycle.

5. Marketplace Integrations

Omnika integrates with third-party ecommerce platforms and marketplaces, including but not limited to:

• Shopee
  
• Lazada
  
• TikTok Shop
  
• Facebook Marketplace
  
• Instagram
  
• other ecommerce platforms
  

By connecting your marketplace account, you:

1. Authorize Omnika to access marketplace data through APIs or other integration technologies.
   
2. Grant Omnika permission to retrieve data including but not limited to:
   
   • product listings
     
   • order information
     
   • inventory data
     
   • transaction data
     
   • operational metrics.
     

This data is accessed solely to provide analytics, operational insights, and platform functionality.

Omnika does not claim ownership of your marketplace data.

However, you grant MGV a limited license to process and analyze such data in order to provide the Service.

6. Acceptable Use

You agree not to use the Service to:

• violate any applicable laws or regulations
  
• infringe intellectual property rights
  
• transmit malicious software or harmful code
  
• attempt unauthorized access to systems or networks
  
• interfere with the normal operation of the Service
  
• misuse API integrations or platform connections
  

MGV reserves the right to suspend or terminate accounts engaging in abusive or unlawful activity.

7. Automated Analytics and AI Disclaimer

Omnika uses automated analytics, machine learning models, and algorithmic systems to generate:

• insights
  
• forecasts
  
• alerts
  
• optimization suggestions
  
• business recommendations
  

All outputs are provided for informational and decision-support purposes only.

They do not constitute professional advice, including:

• financial advice
  
• legal advice
  
• tax advice
  
• investment advice
  
• operational guarantees
  

Omnika does not make fully automated decisions that produce legal or similarly significant effects on users.

Users remain fully responsible for all business decisions made based on the platform’s analytics.

To the maximum extent permitted by law, MGV disclaims liability for any business decisions made based on automated analytics or algorithmic recommendations.

8. Intellectual Property

All intellectual property rights in the Service belong to MGV Digital Pte. Ltd., including:

• software code
  
• platform architecture
  
• user interfaces
  
• analytics models
  
• trademarks
  
• logos
  
• documentation
  

Users are granted a limited, non-exclusive, non-transferable license to access and use the Service during their subscription.

You may not:

• copy or reproduce the software
  
• reverse engineer the platform
  
• create derivative works
  
• resell or sublicense the Service
  

9. Data Protection and Privacy

MGV processes data in accordance with applicable data protection laws including:

• Singapore Personal Data Protection Act (PDPA)
  
• other relevant Southeast Asian privacy regulations.

Users remain responsible for ensuring they have the legal right to share marketplace data with Omnika.

10. Service Availability

While MGV strives to maintain reliable service availability, the Service is provided “as is” and “as available.”

We do not guarantee that:

• the Service will be uninterrupted
  
• the Service will be error-free
  
• all integrations will function continuously
  

Maintenance, updates, or third-party system disruptions may temporarily affect service availability.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

MGV Digital Pte. Ltd. and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• loss of profits
  
• loss of revenue
  
• loss of business opportunities
  
• data loss
  
• operational disruptions.
  

MGV’s total aggregate liability arising out of or relating to the Service shall not exceed the total fees paid by the user in the preceding 12 months.

12. Indemnification

You agree to indemnify and hold harmless MGV, its directors, employees, and partners from any claims arising from:

• misuse of the Service
  
• violation of these Terms
  
• breach of applicable laws
  
• unauthorized use of third-party marketplace data.
  

13. Termination

MGV may suspend or terminate access to the Service if:

• these Terms are violated
  
• payment obligations are not fulfilled
  
• fraudulent or unlawful activity is detected
  

Users may terminate their subscription at any time, however fees already paid are non-refundable unless required by law.

Upon termination:

• access to the Service will be discontinued
  
• data retention may follow standard system retention policies.
  

14. Third-Party Services

The Service may rely on third-party services including:

• marketplace APIs
  
• cloud hosting infrastructure
  
• payment processors
  
• analytics providers.
  

MGV is not responsible for the availability or reliability of third-party services.

Your use of those services may also be subject to their separate terms and policies.

15. Modifications to the Terms

MGV may update these Terms from time to time.

Updated versions will be posted on the website with a revised “Last Updated” date.

Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of Singapore, without regard to conflict of law principles.

Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.
